Overview: Responsible for all processes, administration, tracking and compliance for long-term incentive programs. Insures complete accuracy of records and compliance with all required audit activities.

Grants and Vesting

  • Develops grant pools and eligibility roster based onestablished criteria including level, organization and authorizedparticipation. Will model potential share usage and cost based onestablished assumptions for eligible participation.

  • Oversees the annual and quarterly off-cycle long-termincentive planning process (global guidelines, budgets, collateral materialsfor planning managers, global legal/regulatory compliance, CEO approvalprocess, participant communications).

  • Oversees new stock award delivery and tracking, includingadministration and on-line award acceptance, in close collaboration with thestock plan service provider (Morgan Stanley).

  • Oversees vesting activities including annual and off-cyclevesting, share and dividend equivalents processing and reporting, and othertasks as assigned.

Compliance

  • Ensures compliance with regulatory and policy requirements(including Sarbanes Oxley compliance) and various filings.

  • Maintains strong internal controls environment and evidenceof compliance.

  • Conducts periodic share pool tracking for usage and sharesremaining available

  • Manages Tradewindows, regional Compliance and trading vendor for smooth processing of traderequests.

  • Performs periodic audit activities on stock program (for example,pools, grants, vesting) as required.

  • Reconciles PSU and RSU releases, dividend equivalentpayments and payroll reports for equity compensation.

Technology

  • Leverages technology for continuous improvement in thecommunication and administration of equity programs.

  • Manages interface of internal Xerox systems with MorganStanley system

Internal and External Relations

  • Develops effective working relationships with variousinternal and external resources (including legal, corporate finance, payroll,tax, benefits, etc.) to ensure that all actions, plans and programs pertainingto equity compensation comply with internal corporate governance guidelines andexternal regulatory requirements.

  • Responsible for day-to-day interactions with Accounting /Finance.

General

  • Serves as subject matter expert and respond to questionsfrom Total Rewards team and others on questions and concerns related tolong-term cash and equity compensation.

  • Collaborates with the Director, Executive and Equity Compensationon a variety of projects, including program design, analysis, budgeting,implementation of new programs and stock reload.

  • Serves as resource on executive compensation work, includingbut not limited to proxy preparation, job evaluation and other duties asassigned. May be assigned as a general compensation contact for one or moreinternal client groups.

  • Responsible for survey submissions for long term incentives.

Skills, Knowledge and Abilities:

  • Strong analytical and problem-solving skills, with an eyefor detail and accuracy.

  • Strong project management skills; ability to manage multipleprojects at the same time.

  • Strong vendor management, and customer service orientationskills.

  • Excellent communication skills,both verbal

Qualifications :

  • Education: Bachelor degree required, preferably in Economics,Finance,Accounting, Mathematics.

  • Certifications: CertifiedEquity Professional (CEP) designation desirable.

  • Prior experience in Executive Compensation / Finance /Accounting and / or stock plan administration in a global company. Ability to maintain complete confidentiality,particularly on sensitive matters.

  • Prior experience with Morgan Stanley equity administrationplatform is desirable
