Provides expert support on executive job evaluations andprovides compensation recommendations for both internal and new hire positions. Engages with internal stakeholders asneeded.
Provides analytical support for executive compensation programsand prepares presentations for review / approval of the Compensation Committee of the Board of Directors.
Prepares the Proxy Compensation tables and assists with theCD&A for the Proxy statement.
Develops executive compensation communications and ensures thatmessaging is consistent with Xerox strategies and messaging.
Remains current on legislative changes relative to planregulations, procedure changes, how they impact the compensation function and mandated disclosures.
Develops effective working relationships with various internaland external resources (including legal, corporate finance, payroll, tax, benefits, etc.) to ensure that all actions, plansand programs pertaining to executive compensation comply with internal corporate governance guidelines and externalregulatory requirements.
Collaborates with Tax on IRS 162(m) compliance.
Oversees the annual and quarterly off-cycle long-term incentiveplanning process (global guidelines, budgets, collateral materials for planning managers, globallegal/regulatory compliance, CEO approval process, participant communications).
Oversees new stock award delivery, tracking and vesting,including administration of early FICA and on-line award acceptance, in close collaboration with the stock plan serviceprovider (Morgan Stanley).
Ensures compliance with regulatory and policy requirements(including Sarbanes Oxley compliance) and various filings.
Develops themes, prepares and manages Long-Term Incentivecommunications.
Ensures that employee communications provide clear messaging and explanations thatsupport strong perceived value of equity programs.
Leverages technology for continuous improvement in the communicationand administration of equity programs.
Manages interface of internal Xerox systems with Morgan Stanleysystem.
Bachelor degree required, preferably in Economics, Finance, Accounting, Mathematics.
Preferred: CCP designation desirible
Global experience; direct involvement with compensation management in the United States; regionally with Asia Pacific, Europe, and Latin America
