Xerox Corporation’s Office of General Counsel is seeking a highly-motivated and experienced IP attorney to support Xerox’s Product Development group. The successful candidate will play a key role in providing prompt and effective counsel to multiple internal clients involved in the development through launch phases for various Xerox products. This role will be located in Webster, NY or Norwalk, CT.

Essential Functions:

  • Partner collaboratively with Xerox Product Development teams toprovide a broad spectrum of IP-related counsel for Xerox products fromdevelopment through post-launch activities

o Analyze, draft and negotiate agreements related to product development, including development agreements (hardware and software), licensing and distribution agreements related to Xerox products and software, third-party software, and third-party hardware, and manufacturing and supply agreements

o Support inbound and outbound software licensing related to product development, including review and approval of software licenses (both open source and commercial) to support product launch and updates, drafting end user license agreements, and supporting licensing compliance reviews

  • Counsel clients re existing third-party agreements governingXerox’ relationships with vendors and partner

  • Counsel clients re creation, protection, ownership and licensingof intellectual property


  • 6years of IP experience, preferably including considerable experience in a corporatelegal department

  • Substantialexperience reviewing, drafting and negotiating commercial agreements related todevelopment, software licensing (inbound and outbound), supply and support

  • Thoroughunderstanding of open source software licensing

  • Ability to convey and discuss intellectual property issues and conceptsin well-reasoned, understandable terms

  • Effectivenessat handling multiple matters concurrently and flexibility under pressure

  • Excellentanalytical, writing and verbal communication skills

  • J.D.with strong academic credentials and admission to bar, or qualification forregistration as in-house counsel, in New York

  • Technicalundergraduate degree in engineering, physics or similar field and admission tothe U.S.P.T.O. is strongly preferred
