Job Summary:

Responsible for the full range of legal advice and services. May specialize in one or more of the following areas: contract law, employment law, commercial law, tax law, mergers & acquisitions, compliance, intellectual property, patents, etc.

Purpose

This role is responsible for leading securities and financial management activities. The individual will be comfortable working closely with senior executives across the organization and also the Board of Directors. The position will report to the Associate General Counsel & Corporate Secretary, while also working closely with the Associate General Counsel – M&A and Strategic Transactions and the Executive Vice President & General Counsel.

Scope:

  • Licensed to practice law in New York or Connecticut or be eligible for licensure as a registered in-house counsel in CT

  • Range of the monetary value e.g. revenue dimension, budget, value of inventory cost of production or other funds controlled.

  • People management activities including span of control (could be a range).

  • Level of seniority at which the role operates/interfaces.

  • This information will be included in Job Templates with the General Scope statements below. It is also used in job evaluations

Main Responsibilities:

  • Supporting Executive Compensation program, including trading windows and Section 16 filings.

  • Advising on corporate governance matters and maintaining corporate governance documents, including supervising the ongoing administration and data maintenance of both domestic and foreign subsidiaries.

  • Setting up and qualifying both domestic and foreign subsidiary companies

  • Supporting preparation of proxy statements.

  • Monitoring voting guidelines of proxy advisory firms and institutional investors.

  • Provide support for Board and Committee meetings, including preparing agendas and drafting resolutions and minutes.

  • Administering Director compensation program, including Form 3 and 4 filings.

  • Supporting Executive Compensation program, including trading windows and Section 16 filings.

  • Advising on corporate governance matters and maintaining corporate governance documents, including supervising the ongoing administration and data maintenance of both domestic and foreign subsidiaries.

  • Setting up and qualifying both domestic and foreign subsidiary companies

  • Supporting preparation of proxy statements.

  • Monitoring voting guidelines of proxy advisory firms and institutional investors.

Educational Requirements

  • Master degree in specialized field (Example: MSC, MBA etc.)

  • BA/BS and JD with excellent law school credentials.

Certifications:

  • Licensed to practice law in New York or Connecticut or be eligible for licensure as a registered in-house counsel in CT
