Xerox Sr. Corporate Counsel-M&A in Norwalk, Connecticut

Summary

This position will be the primary legal lead on various strategic corporate transactions, including all M&A activity globally, and will support the Executive Vice President & General Counsel and Associate General Counsel and Secretary with regard to public company reporting, securities laws compliance, corporate governance, executive compensation, board and committee meetings and other general corporate matters. This position will assist in providing legal guidance and support to a number of internal clients and will assist in supporting the Corporate Secretary function. This position is based in Norwalk, CT with flexibility to work out of New York, NY on a fairly regular basis.

Responsibilities

  • Lead the Company’s efforts on strategic corporate transactions, including all M&A activity and financing.

  • Assist in the preparation of, and provide overall legal support for, various SEC filings, including the Annual Proxy Statement, Form 10-K, Form 10-Qs and Form 8-Ks.

  • Prepare, review and provide compliance and disclosure advice concerning Section 16 reporting.

  • Attend and prepare and provide support for Board and Committee meetings.

  • Draft and maintain shareholder and board resolutions, consents, agendas, secretary’s certificates and other records.

  • Assist with annual shareholder meeting matters.

  • Assist with shareholder engagement matters and perform research relating to various corporate governance issues.

  • Help maintain accurate corporate records and documentation and provide ongoing administration and data maintenance of subsidiaries on a global basis (domestic and international).

  • Perform SEC, NASDAQ and general corporate governance and disclosure research and analysis and provide support to internal clients, including Investor Relations, Accounting, Finance, Treasury and Corporate Communications with regard to external and internal communications and other matters.

  • Perform other duties as assigned.

Requirements

  • BA/BS and JD with excellent lawschool credentials.

  • Licensed to practice law in NewYork or Connecticut or be eligible for licensure as a registered in-housecounsel in CT.

  • 6 – 10 years of experience inM&A transactional work and/or SEC and public company compliance andcorporate governance and/or M&A transactional work.

  • Law-firm training preferred;experience with technology companies a plus.

  • Ability to communicateeffectively at all levels throughout the company, including with C-levelexecutives and the Board of Directors, and all supported client groups.

  • History of strategic partnering,self-motivation, working independently on projects, meeting aggressivedeadlines and juggling multiple matters.

  • Excellent interpersonal andconflict-resolution skills and ability to work in highly collaborative,team-oriented environment.

  • Excellent professional ethics,integrity and judgment.
